The Raise
A small round, with people who already trust the idea.
Before MoneyCircle raises a priced seed round, we’re opening $100,000 to family, friends, and early believers — at a materially better price than seed investors will pay next.
Why now
The model already works. It just hasn’t had infrastructure.
Rotating group savings circles — chit funds, ROSCAs, tandas, susus — have run inside trusted social circles for generations, entirely on informal trust. Canada has no dedicated regulatory framework for them, which has kept the category almost entirely informal: real money moving through group chats and cash envelopes, with no ledger, no defined term, and no recourse if someone stops paying.
Traditional chit funds don’t solve this either — where they’re formalized, they tend to be ambiguous and complex in structure. There is currently no consumer platform in Canada running a compliant, FINTRAC-registered version of this model. MoneyCircle is built to be that platform: a closed-loop, trust-segregated ledger with a defined term and a published pricing formula, wrapped around a savings pattern that already happens organically inside immigrant and newcomer communities across the country — and, we believe, well beyond Canada, for anyone who’d rather save together than borrow alone.

2.5× this round’s pre-money valuation
Pre-money fully-diluted share count of 10,000,000 includes a 1,000,000-share option pool reserved for future hires. $100,000 ÷ $0.20/share = 500,000 new Class B shares issued. Final terms are set by the subscription agreement prepared by counsel, not by this page.
What you’re buying
Preferred Class B shares
Family & friends investors receive Preferred Class B shares — not common stock. Two things follow from that:

$100,000 gets MoneyCircle through FINTRAC MSB registration, a compliance-ready ledger platform, and a live pilot circle — the proof points a seed investor will want to see before writing a bigger check.

Introductions
If you know people who’d want to be members of an early circle, or organizers within communities built on trust and mutual support, an introduction is worth as much as the check.
Founder
Who’s building this
Manu Thomas Kuttikkat
Founder, MoneyCircle
Manu moved to Canada in 2011 to study nursing, and worked as a Registered Practical Nurse in Nova Scotia for over five years before requalifying as an accountant. He’s spent the past four-plus years in public accounting practice — a background that pairs frontline healthcare experience with the financial discipline of running other people’s money correctly and compliantly.
The idea for MoneyCircle isn’t theoretical. Back in university, he ran an informal money circle with a small group of close friends — the same rotating-savings pattern MoneyCircle formalizes — to fund the down payment on his first car in Canada, and later to cover a family medical emergency for his parents. It worked. The results were consistently better than what a small, unofficial, trust-based circle should have been able to deliver — which was the problem: something that effective shouldn’t have to stay limited to whoever happens to be in your social circle. MoneyCircle is that same mechanism, rebuilt as a regulated platform, open to anyone in Canada — and eventually beyond it — rather than just the people you already know.
Risks, plainly
What you should weigh before investing
Early-stage, pre-launch. MoneyCircle has no live revenue yet. Most startups at this stage don’t return investor capital.
Total loss is possible. You should only invest an amount you could afford to lose entirely.
Illiquid. There is no public market for these shares. You may not be able to sell your stake, and there’s no fixed timeline for an exit.
Future dilution. The planned seed round and any rounds after it will issue new shares, reducing your percentage ownership over time.
Regulatory & execution risk. FINTRAC MSB registration and banking partnerships are in progress, not complete. Timelines can slip and requirements can change.
This page is for discussion purposes only and isn’t legal, tax, or investment advice. It’s not an offer to sell securities — any investment will be documented under a formal subscription agreement, prepared with securities counsel, under exemptions available for a Canadian friends-and-family round. Please read those final documents and talk to your own independent advisor before investing.
